A. Northstar Scale to Exit

Scale to Exit is designed to help business owners prepare their companies for sustainable growth, operational improvement, financial clarity, value creation, and a potential future business exit.

Services may include business assessment, strategic planning, growth strategy, sales and marketing strategy, systems and operations improvement, technology and automation strategy, management development, financial analysis, exit-readiness planning, and related advisory services.

B. Northstar M&A Advisory

M&A Advisory services may include assistance to business owners and prospective buyers in connection with potential mergers, acquisitions, business sales, purchases, and other business transactions.

Depending upon the engagement, services may include transaction preparation, business positioning, valuation analysis, buyer or seller preparation, market positioning, introductions, transaction coordination, negotiation support, due diligence coordination, and other transaction-related advisory services.

Specific services, responsibilities, compensation, representations, warranties, confidentiality obligations, and other terms applicable to an M&A engagement will be established in a separate written engagement agreement.

In the event of a conflict between these Terms and a separately executed engagement agreement, the applicable engagement agreement will control with respect to the services covered by that agreement.

Northstar does not replace these professionals.

Any M&A services provided by Northstar are subject to applicable federal and state laws, regulations, licensing requirements, exemptions, and professional requirements.

Where a transaction requires services that Northstar is not authorized or qualified to provide, Northstar may recommend or require that an appropriately licensed or qualified third party perform those services.

6. Separate Engagement Agreements

Use of this website does not establish a client relationship with Northstar.

A client relationship is established only when Northstar and the client enter into an applicable written agreement.

The applicable engagement agreement may establish additional or different terms relating to:

  • scope of services;

  • compensation and fees;

  • success fees or transaction fees;

  • exclusivity;
